1. Introduction & Acceptance

Welcome to AdHive, an AI-powered poster generation platform provided by MacHive ("we," "our," or "us"), accessible at adhive.ai (the "Service"). These Terms and Conditions ("Terms") govern your access to and use of our Service. By creating an account, purchasing credits, or using AdHive in any way, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you may not access or use the Service.

2. Eligibility & Account Registration

2.1 Age Requirements

You must be at least 18 years old (or the age of majority in your jurisdiction) to use AdHive. By using the Service, you represent and warrant that you meet this age requirement.

2.2 Account Creation

To use AdHive's features, you must create an account using Google OAuth authentication. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

3. Credit-Based Pricing & Payment

3.1 Credit System

AdHive operates on a credit-based model. Each AI poster generation consumes credits based on the complexity and AI model selected:

• Starter Plan: 10 credits per month (free)
• Creator Plan: 500 credits per month (₹2,500/month)
• Agency Plan: Unlimited credits (₹8,500/month)

3.2 Purchasing Credits

You may purchase credits through our platform using the payment methods provided. All prices are listed in Indian Rupees (₹) unless otherwise specified.

3.3 Credit Terms

• Non-Transferable: Credits are tied to your account and cannot be transferred to another user
• Non-Refundable: Credits are generally non-refundable except as required by law or at our sole discretion
• Expiration: Free credits expire at the end of each month. Paid plan credits rollover up to 3x your monthly allowance
• No Cash Value: Credits have no cash or monetary value and cannot be exchanged for money

3.4 Billing & Subscriptions

Paid subscriptions are billed monthly or annually based on your selection. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through your account settings, effective at the end of the current billing period.

3.5 Refund Policy

Refunds are provided at our discretion and only in exceptional circumstances, such as:

• Technical errors that prevented service delivery
• Unauthorized charges on your account
• Service failures beyond your control

Refund requests must be submitted within 14 days of the charge. We do not provide refunds for partially used subscriptions or unused credits.

4. User Content & Intellectual Property

4.1 Your Content

"User Content" includes all images, text, data, and other materials you upload or submit to AdHive. You retain all ownership rights to your User Content.

4.2 License to Us

By uploading User Content, you grant AdHive a worldwide, non-exclusive, royalty-free, sublicensable license to:

• Host, store, and process your content to provide the Service
• Generate AI posters based on your inputs
• Display your content within your account and gallery
• Transmit your content to third-party AI providers (Google, OpenAI, Stability AI) for processing

This license terminates when you delete the content or close your account, except for content already processed or where retention is required by law.

4.3 Your Representations

You represent and warrant that:

• You own or have the necessary rights to all User Content you upload
• Your content does not infringe any third-party intellectual property rights
• Your content complies with all applicable laws and these Terms
• You have obtained all necessary consents for any identifiable individuals in your images

4.4 Generated Outputs

AI-generated posters created using AdHive are yours to use commercially, subject to the following:

• You must comply with the AI providers' terms of use (Google, OpenAI, Stability AI)
• You are responsible for ensuring generated content doesn't infringe third-party rights
• We do not claim ownership of generated outputs, but reserve the right to use anonymized examples for marketing

4.5 Our Intellectual Property

The AdHive platform, including its software, design, features, and branding, is owned by MacHive and protected by intellectual property laws. You may not:

• Copy, modify, or reverse engineer our platform
• Remove or alter any proprietary notices
• Use our trademarks without permission
• Create derivative works based on our Service

5. Acceptable Use Policy

You agree NOT to use AdHive to:

• Violate any applicable laws, regulations, or third-party rights
• Upload content you don't own or have rights to use
• Generate harmful, offensive, or illegal content including:
  • Hate speech or discriminatory content
  • Violent or graphic imagery
  • Adult or sexually explicit content
  • Content that promotes illegal activities
  • Misleading or fraudulent marketing materials
• Impersonate any person or entity
• Upload malware, viruses, or malicious code
• Attempt to access unauthorized areas of the Service
• Scrape, data mine, or extract data from the platform
• Resell or redistribute our Service without authorization
• Interfere with or disrupt the Service or servers
• Use automated tools or bots without permission

We reserve the right to review content, remove prohibited content, and suspend or terminate accounts that violate this policy.

6. Third-Party AI Services

AdHive integrates with third-party AI providers (Google Gemini, OpenAI DALL-E 3, Stability AI SDXL). Your use of these models through our Service is subject to:

• These providers' respective terms of service and usage policies
• Content moderation and safety guidelines of each provider
• Rate limits and availability determined by the providers

We are not responsible for the performance, availability, or outputs of third-party AI services. You acknowledge that these services may be modified or discontinued by their providers at any time.

7. Service Availability & Modifications

7.1 Service Availability

While we strive for high availability, we do not guarantee uninterrupted or error-free access to AdHive. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical issues or system failures
• Third-party service disruptions
• Events beyond our reasonable control

7.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including:

• Features and functionality
• Pricing and credit costs
• Available AI models
• Terms and policies

We will provide reasonable notice of material changes that negatively affect your use of the Service.

8. Disclaimers & Limitation of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, secure, or error-free
• AI-generated outputs will be accurate, suitable, or free from defects
• Generated content will not infringe third-party rights

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MACHIVE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM:

• Your use or inability to use the Service
• Unauthorized access to your account or content
• Errors or inaccuracies in AI-generated outputs
• Third-party conduct or content
• Service interruptions or modifications

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ₹1,000, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless MacHive, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws

10. Copyright & DMCA

We respect intellectual property rights. If you believe your copyrighted work has been infringed on AdHive, please notify us with:

• Your contact information
• Description of the copyrighted work
• Location of the infringing content on our platform
• Statement of good faith belief that use is unauthorized
• Statement that information is accurate, under penalty of perjury
• Your physical or electronic signature

11. Termination

11.1 By You

You may terminate your account at any time through your account settings. Upon termination:

• Your access to the Service will cease immediately
• Unused credits will be forfeited (no refunds)
• We will delete your data according to our Privacy Policy

11.2 By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay fees owed
• Create risk or legal exposure for us

We will provide notice when reasonably possible, but may terminate immediately for serious violations.

12. Dispute Resolution & Governing Law

12.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of AdHive shall be resolved through:

1. Good faith negotiation between the parties
2. If unresolved after 30 days, binding arbitration under Indian arbitration law
3. Arbitration shall be conducted in English in a mutually agreed location

You agree to arbitrate disputes individually and waive any right to participate in class actions, except where prohibited by law.

12.3 Jurisdiction

For matters not subject to arbitration, you agree to the exclusive jurisdiction of courts located in India.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MacHive regarding the Service.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

13.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified by:

• Sending an email to your registered address
